Seller Agreement

Overview

This Seller Agreement ("Agreement") is a legal contract between you ("Seller," "Creator," or "you") and Slophouse Studios LLC, a Texas limited liability company operating as Frequency 43 / DIGR ("we," "us," or "DIGR"). By listing paid content on DIGR, you agree to be bound by this Agreement.

1. Eligibility

To sell content on DIGR, you must:

• Be at least 18 years of age
• Provide a valid email address associated with your account
• Agree to these Seller Agreement terms, our Terms of Service, and our Privacy Policy
• Be legally capable of entering into binding contracts in your jurisdiction

2. Content Ownership

By uploading content for sale on DIGR, you represent and warrant that:

• You are the original creator of the content, or you have obtained all necessary rights, licenses, and permissions to sell it
• The content does not infringe on any third-party copyrights, trademarks, or other intellectual property rights
• You have the full authority to grant the licenses described in this Agreement and our License Terms

You retain all ownership rights to your content. By listing on DIGR, you grant us a non-exclusive license to display, distribute, stream previews, and facilitate sales of your content on the platform.

3. Prohibited Content

The following content is strictly prohibited on DIGR:

• Uncleared samples: Content containing samples from third-party works without proper clearance or licensing
• Stolen beats or productions: Content created by another artist and uploaded without authorization
• Misrepresented AI-generated content: AI-generated material presented as original human-created work without disclosure
• Infringing material: Any content that violates copyrights, trademarks, or other intellectual property rights
• Illegal content: Material that violates any applicable local, state, federal, or international law

4. Pricing

Creators set their own prices for content listed on DIGR. Our pricing model works as follows:

• Sellers keep 100% of the listed sale price
• A service fee is charged to the buyer on top of the listed price — DIGR does not take a cut from seller earnings
• You may update your prices at any time; price changes do not affect completed transactions

5. DMCA Compliance

DIGR complies with the Digital Millennium Copyright Act (DMCA). As a seller, you agree to:

• Respond promptly to any DMCA takedown notices related to your content
• Understand that content subject to a valid DMCA notice will be removed from the platform
• Accept our three-strike policy: three valid DMCA complaints against your account will result in permanent termination
• Not file false counter-notifications; doing so may expose you to legal liability

6. Payment

Seller payouts are processed through Stripe Connect. By selling on DIGR, you agree to:

• Create and maintain a valid Stripe Connect account
• Provide accurate banking and tax information to Stripe
• Accept Stripe's terms of service and connected account agreement

You are solely responsible for reporting and paying all applicable taxes on your earnings, including but not limited to income tax, self-employment tax, sales tax, and VAT where applicable. DIGR does not withhold taxes on your behalf.

We reserve the right to withhold or delay payouts if we reasonably suspect fraudulent activity, policy violations, or pending disputes.

7. Content Removal

DIGR reserves the right to remove any content from the platform at our sole discretion if it:

• Violates this Agreement or our Terms of Service
• Is the subject of a valid DMCA takedown notice
• Is reported and found to contain prohibited material
• Is deemed harmful, misleading, or otherwise objectionable
• Violates any applicable law or regulation

We will make reasonable efforts to notify you when content is removed, but we are not obligated to do so in cases of clear policy violations or legal requirements.

8. Account Termination

DIGR enforces a three-strike policy for seller accounts:

• Strike 1: Warning and content removal
• Strike 2: Temporary suspension of selling privileges
• Strike 3: Permanent account ban and removal of all content

Strikes may be issued for DMCA violations, prohibited content uploads, fraudulent activity, or other violations of this Agreement.

We reserve the right to immediately terminate accounts without prior strikes in cases of egregious violations, including but not limited to fraud, illegal activity, or repeated intentional infringement.

9. Indemnification

You agree to indemnify, defend, and hold harmless Slophouse Studios LLC, its officers, directors, employees, agents, and affiliates (collectively, "DIGR Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your content uploaded to the platform
• Your breach of this Agreement or any applicable law
• Your infringement of any third-party intellectual property or other rights
• Any dispute between you and a buyer of your content

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts located in Travis County, Texas.

Changes to This Agreement

We may update this Agreement from time to time. We will notify sellers of material changes via email or platform notice. Continued use of DIGR's selling features after changes take effect constitutes acceptance of the updated terms.
