Welcome to Frequency 43 ("we," "us," "our," or the "Platform"), operated by Slophouse Studios LLC, Austin, Texas. By accessing or using freq43.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

1. Eligibility & Accounts

1.3 Account Responsibility

You are responsible for all activity under your account. Do not share your credentials. Notify us immediately at support@freq43.com if you suspect unauthorized access.

2. Platform Features & Usage

2.1 Lab (Visualizer & Audio Analysis)

All audio visualization and frequency analysis processing occurs locally in your browser. No audio is uploaded to, stored on, or transmitted to Frequency 43 servers for Lab features.

Tab Audio Capture: The Platform can capture audio from other browser tabs (Spotify, YouTube, SoundCloud, etc.) for real-time visualization only. This audio is processed locally in your browser. No server-side recording or storage occurs. Export or download of tab-captured audio is not possible.

Export Disclaimer: Exported visualizations may contain audio subject to third-party copyright. You are solely responsible for ensuring you have the rights to any audio included in your exports. Frequency 43 provides visual rendering tools only and makes no claim over audio content.

2.2 Stem Splitter

Unlike the Lab, stem splitting requires server-side processing. When you use this feature:

Frequency 43 does not retain, access, review, or use uploaded audio for any purpose other than performing the requested stem split.

2.3 Binaural Beats Generator

The binaural beats generator creates original audio frequencies. See Section 11 (Health Disclaimer) for important safety information.

3. Subscriptions

3.2 Billing

3.3 Cancellation

You may cancel at any time. Access continues through the end of your current billing period. No prorated refunds for partial billing periods.

3.4 Quota Reset

Monthly stem split and DIGR download quotas reset at the beginning of each billing cycle and do not roll over to the next period.

3.5 Price Changes

We may modify subscription pricing with 30 days' notice. Existing annual subscribers remain at their current rate until renewal.

5. DIGR Marketplace

5.1 Upload Rights & Warranties

By uploading content to DIGR, you represent and warrant that:

You agree to indemnify and hold harmless Frequency 43 against any claims, damages, or expenses arising from content you upload.

5.2 Creative Ecosystem

DIGR is a creative ecosystem. By uploading content, you're joining a community where music inspires new music. Your pricing determines how others interact with your work:

Free Content

Content uploaded at no cost is part of the open creative ecosystem. Other users may stream, save to their Vault, split stems in the Lab, sample, and create derivative works. The platform will automatically attribute the original creator when stems or samples from your work appear in new creations.

Paid Content

Content with a price requires purchase before full access. All users can stream and preview. Once purchased, the buyer may save to their Vault, split stems in the Lab, sample, and create derivative works. Your price is your permission gate — you get paid, and the buyer gets full creative access.

In both cases, the original work cannot be redistributed as-is or re-uploaded by another user. Derivative works must be substantially transformative.

5.3 License Grant

By uploading content to DIGR, you grant Frequency 43 a non-exclusive, worldwide, royalty-free license to host, store, display, stream, and distribute your content on the platform.

For free content, you further grant all platform users the right to interact with your content through DIGR's tools (Lab stem splitting, sampling, derivative works) with automatic platform attribution.

For paid content, you grant purchasing users the same creative rights upon completed purchase.

6. Founding Member Program

6.1 Benefits

Founding members receive all premium features (equivalent to Studio tier) for the lifetime of their account, at no cost.

7. Repeat Infringer Policy & DMCA Compliance

This section is required for DMCA safe harbor protection under 17 U.S.C. § 512.

7.1 Policy Statement

Frequency 43 will terminate the accounts of users who are repeat copyright infringers.

7.2 Three-Strike Rule

Users who receive three (3) valid DMCA takedown notices will have their account permanently terminated.

8. Intellectual Property

8.1 Platform Ownership

Frequency 43, its features, design, and underlying technology are owned by Slophouse Studios LLC. You may not copy, modify, reverse engineer, or create derivative works from the Platform.

8.2 User Content

You retain ownership of content you upload. By uploading, you grant us licenses as described in Section 5.3.

8.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FREQUENCY 43 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles.

10.2 Arbitration

Any dispute arising from these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Austin, Texas, or remotely at your election.

10.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

10.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Platform.

11. Health & Safety Disclaimer

11.1 Binaural Beats

The binaural beats generator is provided for entertainment and relaxation purposes only. It is NOT a medical device and is not intended to diagnose, treat, cure, or prevent any medical condition.

11.2 Epilepsy & Seizure Warning

Audio-visual stimulation may trigger seizures in susceptible individuals. If you have epilepsy, a seizure disorder, or photosensitivity, consult a physician before using audio-visual features.

11.3 General Precautions

Frequency 43 is not responsible for any adverse health effects from using the binaural beats generator or visualizer.

12. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email or Platform notification. Your continued use after changes take effect constitutes acceptance. If you disagree with changes, you must stop using the Platform.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and DMCA Policy, constitute the entire agreement between you and Frequency 43.

13.2 Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

13.3 Waiver

Failure to enforce any provision does not waive our right to enforce it later.

13.4 Assignment

You may not assign these Terms. We may assign our rights and obligations without restriction.
