Creator Agreement

This Creator Agreement ("Agreement") is between you ("Creator", "you") and Frequency 43 ("we", "us", "the Platform"). By uploading content for sale on Frequency 43, you agree to these terms.

1. License Grant to Frequency 43

When you upload sample packs, stems, or other audio content ("Content") to sell on our marketplace, you grant Frequency 43 a non-exclusive, worldwide, royalty-free license to:

Display and distribute — Show your Content on our platform and deliver it to purchasers
Promote — Use previews, artwork, and descriptions in marketing materials
Create derivatives for platform use — Generate waveforms, spectrograms, and audio previews
Cache and store — Host your Content on our servers and CDN

This license exists solely to operate the marketplace. You retain full ownership of your Content. When you remove Content from the platform, this license terminates (except for copies already purchased by users).

2. License Grant to Buyers

When someone purchases your Content, you grant them a perpetual, non-exclusive license to:

Use the samples in their own music productions
Release music containing your samples commercially
Modify, chop, layer, and process the samples

Buyers may NOT:

Resell, redistribute, or share the raw samples
Claim ownership of the original samples
Use samples in competing sample pack products
Register samples as their own with content ID systems

3. Revenue Share

You keep 100% of every sale.

Frequency 43 takes zero platform cuts. Buyers on the Free tier pay a 30% service fee — but that comes from them, never from you.

Note: Creators always receive 100% of the sale price. Free-tier buyers pay a 30% service fee on top of the listed price; Pro and Studio subscribers pay 0% buyer fee.

4. Payout Terms

Payout Threshold

Payouts are processed when your balance reaches $25.00 USD minimum. Balances below this threshold roll over to the next payout period.

Payout Schedule

Payouts are processed on the 1st and 15th of each month
Funds typically arrive within 2-5 business days depending on your bank
You must have a verified Stripe Connect account to receive payouts

Taxes

You are responsible for reporting and paying any taxes on your earnings. We may be required to collect tax information (W-9 for US creators, W-8BEN for international) for earnings exceeding $600/year.

5. Content Guidelines

All Content you upload must meet these requirements:

You MUST:

Own or have created all audio in your Content
Have proper clearance for any third-party samples used
Accurately describe your Content (genre, BPM, key, etc.)
Provide high-quality audio files (WAV preferred, minimum 16-bit/44.1kHz)

You must NOT upload:

Stolen samples — Content ripped from other creators, records, or sample packs
Uncleared samples — Samples containing copyrighted material you don't have rights to
Misleading content — Content that doesn't match its description
AI-generated content falsely marketed as original — Must disclose AI involvement
Malicious files — Anything other than audio content

Sample Clearance: If you sample or interpolate other recordings, you must have documented clearance before uploading. "I don't think they'll notice" is not clearance. When in doubt, leave it out.

6. Representations & Warranties

By uploading Content, you represent and warrant that:

You are the sole creator and copyright owner (or have all necessary rights)
Your Content does not infringe any third-party rights
You have authority to grant the licenses described in this Agreement
Your Content complies with all applicable laws
All information you provide is accurate

7. Indemnification

You agree to indemnify, defend, and hold harmless Frequency 43, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

Your Content or its use by purchasers
Your breach of this Agreement
Your violation of any third-party rights
Any claims that your Content infringes copyrights, trademarks, or other rights

In plain English: if someone sues us because of your content, you're responsible for dealing with it.

8. Termination

You May Terminate

You can stop selling on Frequency 43 at any time by removing your Content and closing your creator account. Outstanding balances above the payout threshold will be paid in the next scheduled payout.

We May Terminate

We may suspend or terminate your creator account if:

You violate this Agreement or our Terms of Service
You receive multiple valid DMCA takedown notices
You engage in fraudulent activity
You become unresponsive to legitimate copyright claims

Effect of Termination

Your Content will be removed from the marketplace
Pending payouts above threshold will still be processed
Existing purchasers retain their licenses to previously bought Content
Balances below threshold at termination may be forfeited

9. Dispute Resolution

If a buyer disputes a purchase or files a copyright claim against your Content:

We may temporarily withhold associated earnings pending resolution
You agree to cooperate with any investigation
We may share your contact information with claimants as required by law

10. Changes to This Agreement

We may update this Agreement with 30 days notice via email. Continuing to sell Content after changes take effect constitutes acceptance. If you disagree with changes, you may terminate as described above.
